Terms of Service (KB Web Designs)

These Terms of Service (“Terms”) govern your access to and use of the websites, pages, forms, and services provided by KB Web Designs (“KBWD,” “we,” “us,” “our”). By accessing our site, submitting a form, purchasing, or using our services, you agree to these Terms.
If you do not agree, do not use the Services.
1) Definitions

Client: the end customer purchasing services directly from KBWD.

Partner: an agency/reseller using KBWD for white-label fulfillment or related services.

End Customer: the Partner’s customer when KBWD is fulfilling under a Partner relationship.

Deliverables: the website, design assets, configurations, content structure, and related outputs provided as part of a project.

Managed Hosting: hosting and maintenance coverage as described in the applicable order/plan.

Order: a quote, invoice, proposal, statement of work (SOW), package description, or online checkout that defines scope and pricing.
2) Scope and ordering
KBWD provides web design, WordPress development, ecommerce deployment, content structure support, and website management services, including Partner/white-label fulfillment.
Your specific scope is defined only by the Order. Anything not explicitly included is out of scope and may require a change order or additional fees.
3) Partner / white-label fulfillment
If you are a Partner:

You are responsible for your relationship with your End Customer, including contracts, pricing, promises, and approvals.

KBWD will deliver the Deliverables to you (or, where agreed, to the End Customer) based on the requirements and inputs you provide.

Unless agreed otherwise in writing, Partner work may be delivered white-label, meaning KBWD will not present itself to your End Customer as the service provider.

You represent and warrant you have rights/permissions to share End Customer data and materials with KBWD for fulfillment.
4) Inputs, content, and approvals
You are responsible for providing timely access and inputs needed to complete the project, which may include:

Logos, brand assets, text, images, product data, and content approvals,
-
Domain/DNS access (or coordination), hosting credentials if required,
-
Third-party tool accounts (e.g., email services, booking tools) when necessary.
Delays in providing inputs may delay delivery timelines and do not constitute a breach by KBWD.
You are responsible for ensuring that materials you provide do not infringe third-party rights and comply with law.
5) Delivery timelines and SLAs
Any stated timeframes (including “48 hours” delivery language) refer to standard builds under a defined scope, with required inputs provided, and do not apply to:

Complex ecommerce catalogs, custom integrations, migrations, or non-standard requirements,
-
Delayed approvals, missing content, or incomplete access,
-
Force majeure events or third-party outages.
Where a timeline is included in an Order, it is a target delivery window, not an absolute guarantee.
6) Revisions and change requests
Unless stated otherwise in your Order:
-
KBWD includes a reasonable revision window for standard builds focused on correcting issues and aligning to agreed scope.
-
Requests that expand scope (new pages, new functionality, new integrations, structural redesign, new content creation beyond agreed support) are change requests and may require additional fees and time.
KBWD may require change requests to be approved in writing (email is sufficient) before starting.
7) Hosting and “one year of managed hosting included”
Where an Order includes one year of managed hosting, the following applies:

The inclusion covers hosting and standard managed services as described in the Order (e.g., routine updates, monitoring, basic support).

The inclusion begins upon launch (or as stated in the Order) and runs for 12 months.

After the included period, hosting renews at the then-current rate unless canceled in advance.

Certain high-risk or resource-heavy use cases may require a different plan or exclusions, disclosed before launch.
KBWD may suspend hosting for violations of Acceptable Use (Section 11) or non-payment after the included period.
8) Fees, billing, and taxes
Fees are defined in the Order. You agree to pay all fees and applicable taxes.
Unless otherwise stated:

Invoices are due upon receipt.

Late payments may result in paused work, delayed delivery, suspension of services, or withholding of Deliverables until payment is made.
If you pay through a third-party processor, you agree to their terms.
9) Refunds and cancellations
Due to the nature of digital services and reserved delivery capacity:
-
Fees for completed work are non-refundable.
-
If you cancel before work begins, KBWD may refund amounts paid minus administrative costs and any non-refundable third-party charges.

If you cancel after work begins, KBWD may retain amounts proportional to work completed and reserved capacity.
Specific refund rules may be defined in your Order and will control if they conflict with this section.
10) Intellectual property and licensing
A) Your materials
You retain ownership of materials you provide (logos, copy, images, trademarks). You grant KBWD a limited license to use them only to perform the Services.
B) KBWD materials and frameworks
KBWD retains ownership of:

Internal processes, templates, frameworks, code libraries, standardized components, and tooling used to produce Deliverables.
Upon full payment, you receive a license to use the Deliverables as delivered for your business (or your End Customer’s business), subject to third-party licenses and these Terms.
C) Third-party software
Deliverables may rely on third-party plugins, themes, fonts, and tools subject to their licenses. You agree to comply with those licenses. KBWD is not responsible for third-party license changes.
11) Acceptable use
You may not use the Services or hosted sites to:
-
Violate law or third-party rights,
-
Distribute malware, phishing, spam, or abusive content,
-
Operate illegal marketplaces, scams, or deceptive services,
-
Attack networks or systems, or attempt unauthorized access.
KBWD may suspend or terminate Services for violations or suspected violations.
12) Confidentiality
If we exchange non-public information, both parties agree to keep it confidential and use it only for the purposes of the Services, unless disclosure is required by law.
For Partners, confidentiality includes End Customer information and white-label arrangements.
13) Warranties and disclaimers
KBWD will provide services in a professional and workmanlike manner.
Except as expressly stated in an Order, the Services are provided “as is” and “as available.” KBWD does not guarantee:
-
Specific business outcomes (rankings, revenue, conversions),
-
Uninterrupted access to third-party services,
-
That the Services will meet every specific preference outside the agreed scope.
14) Limitation of liability
To the maximum extent permitted by law:
-
KBWD is not liable for indirect, incidental, special, consequential, or punitive damages.

KBWD’s total liability for any claim related to the Services is limited to the amounts paid to KBWD for the specific Order giving rise to the claim within the three (3) months preceding the event (or another cap if required by law).
Some jurisdictions do not allow certain limitations; in that case, limitations apply to the maximum extent allowed.
15) Indemnification
You agree to defend and indemnify KBWD against claims arising from:

Materials you provide that infringe rights,
-
Your or your End Customer’s use of the Deliverables in violation of law,
-
Your breach of these Terms.
16) Termination
Either party may terminate an Order according to its cancellation terms.
KBWD may suspend or terminate Services immediately for:
-
Non-payment,
-
Acceptable use violations,
-
Fraud, abuse, or security risks.
Upon termination, you remain responsible for fees incurred, and KBWD may provide a final export/hand-off as described in the Order.
17) Communications
You consent to receive operational communications from KBWD (email, phone, or other channels you provide). Marketing communications (if any) will include an opt-out mechanism where required by law.
18) Governing law and disputes
These Terms are governed by the laws of [Jurisdiction/State/Country], without regard to conflict of law rules.
Any disputes will be handled in [Venue/City] courts unless the parties agree to arbitration in writing.
19) Changes to these Terms
We may update these Terms from time to time. Updates become effective when posted, unless stated otherwise. Continued use after changes means you accept the updated Terms.
